A Board of Directors consisting of seven (7) persons shall be chosen by the organization at its first stated meeting. The Board shall be divided into three (3) classes with respect to the times for which they shall severally hold office; one class consisting of three (3) members, a second class consisting of two (2) members, and a third class consisting of two (2) members. In order that Board members may retire in proper succession, voters at the first stated meeting shall elect three (3) Board members for four (4) years, two (2) for three (3) years,and two (2) for two (2) years. At each annual stated meeting of this Association thereafter, successors shall be elected for each class of directors whose term expires in that year, such successors to hold office for a term of three (3) years, so that the term of office of one class of directors shall expire in each year. Each director of each class shall hold office for a term of three (3) years and thereafter until his successor shall be elected and shall have qualified, except any person elected by the Board of Directors to fill a vacancy shall sit only until the next succeeding spring stated meeting of the Association at which meeting either a successor shall be elected by the members to fill the unexpired term for which the vacancy exists, or the election of a successor by the Board shall be ratified. A Board member can only hold two consecutive terms as a member.
The Board shall determine three geographic areas to be represented by at least two Board members. Board members must be from a supporting church (Article XIII of these Bylaws), and only one Board member per church at one time. A majority of the Board membership must be from the United Reformed Church membership.
